Unapproved options. A typical share option scheme involves employees being granted an option to purchase shares in the future at an agreed price (the ‘exercise price’). The exercise price is often, but does not have to be, the market value of the shares on the date the option was granted. It's not as tax advantageous as an EMI option scheme, however, unapproved schemes do not have to meet any statutory requirements or limits, do not require HMRC approval or that employees work more than 75% of their time with the business. If income tax arises at the grant of the options this tax is payable by deduction at source through payroll. Employees will be subject to USC on the gain arising on the grant and/or exercise of the option. The USC rates applicable are 0.5% to 8% depending on the individual’s overall income. Summary.
